Government endorses decision to restructure the management bodies of state-run enterprises in the fuel and energy sector
The Cabinet of Ministers has initiated a systematic reboot of the management of state-owned enterprises in the fuel and energy sector. In the near future, supervisory boards and executive bodies will be either formed or renewed at these enterprises, and competitive selection processes will be held for the positions of heads of executive bodies, etc. In order to prevent the levelling of the responsibilities of supervisory boards as defined by law, the statutes of state-owned enterprises in the fuel and energy complex, the provisions on the formation of supervisory boards, etc. will be reviewed and updated. The Cabinet of Ministers adopted the relevant decision at its meeting on 17 November 2025.
"In the near future, we will announce a competition for the supervisory board of Naftogaz of Ukraine and form a new composition of Energoatom. The schedule is very intense, and we plan to complete most of the changes at state-run energy companies this year. An important element of the reboot is the updating of charters and regulations. They will be brought into line with the agreed format in accordance with OECD guidelines so that all state-owned energy companies operate under the same, clear rules," said Oleksii Sobolev, Minister of Economy, Environment, and Agriculture of Ukraine.
The Government's decision provides, in particular, for the formation of:
- the new composition of the supervisory boards of Energoatom and Naftogaz of Ukraine;
- the new composition of Energoatom's executive body;
- the executive bodies of the Naftogaz Group (Ukrgazvydobuvannya, Ukrnafta, Gas Distribution Networks of Ukraine) in full composition;
- the supervisory board of Ukrhydroenergo in full composition;
- the new composition of the supervisory board of the Centrenergo;
- the supervisory board of Ukrainian Distribution Networks;
- the supervisory board of Regional Electric Networks, etc.
The state will also replace its representatives on the supervisory boards of the gas transmission system operator of Ukraine LLC and the national energy company Ukrenergo PJSC.
In addition, competitive selection procedures will be held for the positions of chairpersons of the executive bodies of Ukrhydroenergo and the Gas Transmission System Operator of Ukraine.
The decision provides for the completion of the transformation of the state-owned enterprise Guaranteed Buyer into a joint-stock company by December 31, 2025, and the formation of a supervisory board of the newly created joint-stock company.
